Private Equity finances creation of HübnerKTB

10.03.21

Patrimonium Private Equity finances the merger of Hübner Oberflächentechnik GmbH (“Hübner”) and Kunststofftechnik Bernt GmbH (“KTB“), and maintains controlling majority.

Zürich, Marktoberdorf and Kaufbeuren,10. März 2021: Hübner Oberflächentechnik GmbH (“Hübner”) and Kunststofftechnik Bernt GmbH (“KTB”) are merging. Patrimonium Private Equity is the previous majority shareholder of Hübner Oberflächentechnik GmbH and will continue to hold the controlling majority in the parent company after the combination. All other existing shareholders will continue to hold shares as well. The merger lays the foundation for a powerful alliance that will be an even stronger partner for its customers. The parent company will operate under the new name HübnerKTB and will be headed by the two current managing directors of KTB, Dr. Lars Wiegmann and Dr. Carsten Brockmann.

The merger of Hübner and KTB creates a powerful new market player that offers its customers even greater stability and increased flexibility. The newly formed HübnerKTB GmbH will operate in the three strategic business areas of automotive, sanitary products and consumer goods. In addition to an increased market share, the bundling of forces will also allow significantly larger order volumes to be processed. The broader technology offering will enable the Group to provide customers with services that are even better tailored to their specific needs. The merger will also lead to a more diversified customer portfolio.

Operational continuity and attractive growth opportunities
The expansion of the production facilities to three electroplating plants will strengthen operational continuity. In addition to the joint focus on galvanized plastic products and toolmaking, both companies contribute specific process know-how to the partnership: while Hübner brings specific knowledge in the field of physical vapor deposition (PVD), among other things, KTB has significant market experience particularly in the field of laser technology. In addition, KTB holds several patent rights that offer future growth potential.

New competitive advantages
The future managing directors, Dr. Lars Wiegmann and Dr. Carsten Brockmann, who have transformed KTB into an innovative company over the past years, are convinced that the merger with Hübner will bring major competitive advantages: ” For years we have been proving that we are able to compete in the globally contested market of plastic electroplating and that we can contribute crucial product components for renowned customers. The alliance with Hübner will further improve our joint market position considerably”, explains Wiegmann. Brockmann adds: “As an employer, too, the concentration of our forces is a groundbreaking step. New development opportunities and promotion prospects are created for our employees, and we increase our attractiveness for new top talents. This benefits the entire region.” Werner Schnorf, Chairman of the Advisory Board of Hübner and Managing Director of Patrimonium Private Equity, says: “We are proud that we could enable the formation of a new, stronger and hence more relevant company.”

Performance and risk

Positive returns (value accretion) in the past are not a guarantee of positive returns in the future. The price and value of investments mentioned and any income that might accrue may fluctuate and may fall or rise. The value of such investments depends in part on the volatility of the corresponding exchange rates, and movements in these rates might bear negatively on the value of invested capital. The potential risks and returns of investments are also dependent on the managers’ investments policies and emphases. The value of investments may go up as well as down. Like any investment, an investment with Patrimonium has risks, in particular the risk of losing the amount invested. The risk factors of the financial instruments discussed on the Website are described in more detail in the fund prospectuses.
